Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Eulyptica (“we,” “our,” or “us”) governing your access to and use of the eulyptica.com website and our seller analytics platform (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Eulyptica provides analytics and reporting services for Amazon sellers. Our Service connects to your Amazon Seller Central account through the official Amazon Selling Partner API to retrieve and analyze your business data, including inventory, sales, advertising, and brand analytics information.

The Service presents this data through dashboards, reports, and proactive alerts to help you monitor and optimize your Amazon business.

3. Account Registration

To use the Service, you must create an account and authorize access to your Amazon Seller Central data. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the business entity you represent.

4. Amazon Selling Partner API

Our Service accesses your Amazon data through the official Amazon Selling Partner API. By using our Service, you acknowledge that:

  • You are authorizing Eulyptica to access specific data from your Amazon Seller Central account
  • You can revoke this authorization at any time through your Amazon Seller Central account settings
  • Our access to your data is subject to Amazon’s terms, policies, and API availability
  • We are not responsible for changes to Amazon’s API that may temporarily affect the Service

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to harm, interfere with, or disrupt Amazon’s services or other users
  • Share your account access with unauthorized third parties
  • Use the Service in violation of Amazon’s terms of service or acceptable use policies
  • Resell, sublicense, or redistribute the Service or any data obtained through it

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in our Privacy Policy.

You retain all rights to your Amazon seller data. We do not claim ownership of any data you provide or that we retrieve from Amazon on your behalf.

7. Intellectual Property

The Service, including its design, features, content, and code, is owned by Eulyptica and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes, subject to these Terms.

“Eulyptica” and our logo are trademarks of Eulyptica. You may not use our trademarks without prior written consent.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • System upgrades and improvements
  • Circumstances beyond our reasonable control
  • Changes or outages in Amazon’s API

9. Fees and Payment

Access to the Service may require payment of fees as described on our pricing page. We reserve the right to change our pricing with 30 days’ notice. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or uninterrupted, or that the data provided will be completely accurate or up-to-date. Analytics and reports are provided for informational purposes and should not be the sole basis for business decisions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EULYPTICA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Eulyptica and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

Either party may terminate this agreement at any time. You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if:

  • You violate these Terms
  • Your Amazon seller account is suspended or terminated
  • We are required to do so by law
  • We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service will immediately cease. We will delete your Amazon seller data within 30 days of termination, as described in our Privacy Policy.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
